Z Brand's Terms Of Sale

Introduction

These Terms of Sale govern the purchase of products on [zbrand.ae] or through our mobile application (collectively, the "Platform"). The Platform is owned and operated by Z Brand E-commerce, a subsidiary of ZASA Solutions FZ LLC, a limited liability company incorporated under the laws of Ras Al Khaimah Economic Zone Authority, United Arab Emirates ("UAE"), with trade license number 45008115, and our email is legal@zbrand.ae ("we", "our", or "us").

By placing an order on the Platform, you, the buyer, agree to be bound by these Terms of Sale, effective immediately. Please carefully review these terms before submitting your order.

Order Acceptance

  • Supplier: Products are sold either directly by us or by third-party sellers, as indicated on the Platform.
  • Order Confirmation: We will confirm acceptance of your order via written communication (e.g., email or mobile message). If we cannot accept your order, we will notify you and no charges will apply.
  • Payment: By placing an order, you authorize us or our payment processors to charge your credit/debit card for the order total. We accept credit/debit cards, digital wallet payments, and cash on delivery (up to AED 6,500). We may create accounts with third-party payment processors on your behalf, subject to their terms. We may modify accepted payment methods at any time.
  • Order Cancellation (Buyer): You may cancel your order before shipment for any reason.
  • Order Cancellation (Seller): We may cancel your order if:
    • Payment is not received.
    • Necessary information is not provided.
    • Delivery or collection cannot be arranged.
    • Bulk or multiple orders of similar products are attempted.
    • Product availability issues.
  • Bulk/Multiple Purchases: We reserve the right to decline orders involving bulk purchasing or multiple units of similar items.

Delivery

  • Delivery Fees: Delivery costs are displayed on the Platform.
  • Delivery Schedule: Estimated delivery dates are shown on the Platform.
  • Delivery Issues:
    • We will notify you of delays caused by events beyond our control.
    • If delivery is unsuccessful, we will provide instructions for rescheduling or collection.
    • If you fail to arrange redelivery or collection, we may cancel your order.
  • Identity Verification: We may verify your identity and payment instrument ownership by requesting additional information or documentation. We may refuse delivery if verification fails.
  • International Orders: You may be considered the importer of record for international orders. You are responsible for ensuring lawful importation, compliance with regulations, and payment of customs duties.
  • Product Ownership: Ownership transfers upon delivery and full payment.
  • Invoice: An electronic invoice will be sent to your provided email address.

Returns

  • Return Policy:
    • Returns are accepted for incorrect, misrepresented, or damaged products.
    • Returns for change of mind are subject to specific conditions outlined in our Returns Policy.
    • Refurbished items must be returned within 7 days of delivery.
    • Items must be unused, in original packaging with tags.
    • Electronics opened are accepted if not as described.
  • Non-Returnable Items:
    • Hazardous materials.
    • Used or damaged products.
    • Consumable items.
    • Products with tampered serial numbers.
    • Specific categories (food, beverages, digital books, hygiene items, etc.).
  • Return Process: Initiate returns via the "Account" section, then "Need Help?".
  • Refunds:
    • Full refunds (including return shipping) for faulty or misrepresented products, or errors on our part.
    • Product refunds (excluding original shipping) for other returns, with return shipping costs potentially borne by the buyer.
    • Full refunds for cancelled undelivered items.
    • Cash on delivery refunds will be issued to your wallet.
  • Refund Timeline:
    • Credit/debit card refunds within seven (7) days of product receipt and inspection.
    • Automated refunds for pre-shipment cancellations.

Warranty

  • Warranty Coverage: Warranties cover defects in materials, design, and workmanship. We provide a twelve (12) month warranty on selected products sold directly within the UAE. Electronic accessories excluding apple products have a 6 month warranty. Seller warranties apply to third-party sales.
  • Authorized Service: Warranty repairs are performed by authorized service centers. Refer to our Warranty Policy for details.
  • Repair Time: Repair times are outlined in the provided table.
  • Warranty Period: Repair or replacement does not extend the warranty period.
  • Warranty Exclusions:
    • Unauthorized repairs.
    • Physical or liquid damage.
    • Software modifications.
    • Use of non-original accessories.
    • Removed serial numbers.
    • Consumable replacements.
    • Misuse or abuse.
    • Battery damage caused by improper charging.
    • Tampered seals.
  • Warranty Claims: Initiate warranty claims via the "Account" section, then "Contact Us".

Warranties, Representations, and Undertakings

  • You warrant compliance with all applicable laws and regulations.
  • You confirm your authority to enter these Terms of Sale.
  • Our services are provided "as is" without warranties.
  • The warranty in clause 5.1 is the sole remedy.

Liability

  • Liability is not limited for fraud, negligence causing death or personal injury, or other non-excludable liabilities.
  • We are not liable for lost profits, data, business interruption, or indirect damages.
  • We are not liable for:
    • Delivery delays due to your actions.
    • Unauthorized repairs.
    • Lost data.
    • Reliance on Platform content.
    • Product usage issues.
    • Platform disruptions.
    • Malicious software.
    • Hardware damage.
    • Business loss due to delivery failure.
  • Our total liability is limited to the lesser of the product price and shipping, or AED 300.
  • You agree to indemnify us against third-party claims arising from your Platform use, violations of these terms, or violations of applicable laws.

General

Governing Law: These Terms of Sale are governed by the laws of Dubai.

Dispute Resolution:

Unresolved disputes are subject to arbitration under DIFC-LCIA Arbitration Centre rules.

Third-Party Rights: These terms do not confer rights on third parties.

Relationship: No partnership or joint venture is created.

Further Assurances: Parties agree to cooperate to implement these terms.

Assignment: You may not assign these terms without our consent.

Entire Agreement: These terms constitute the entire agreement.

Amendments: We may amend these terms at any time.

Severability: Invalid provisions do not affect the remaining terms.

Force Majeure: Neither party is liable for events beyond their control.

No Waiver: Waiver of a provision does not waive other provisions.

Survival: Certain provisions survive termination.

Notes: Original boxes must be kept for warranty claims. Return and Warranty clauses do not apply to noon in Minutes, please see those policies.
